13. WHAT IS THE MIDAS BOARD AGENDA?

Midas Broadband Technology

Midas is currently engaged in exploratory talks with a global provider of mobile multimedia and wireless broadband technologies. This is in order to develop a complete package that can be downloaded to any PC, Laptop or Mobile phone. This software shall contain patent-protected Tenant Companies, Live & Recorded content and multimedia services that facilitate all Midas functions.  This software shall be available, under license and subject to relevant terms and conditions, to any subscriber on any network. It may transpire that this system may be contained in an embedded device in mobile phones.

The Midas Board Agenda (See Section 3)
The proposed Midas Consortium and Associated Partners, shall, upon completion of all exploratory talks, due diligence and corporate governance, prepare a letter of intent, subject to their individual corporate terms and conditions, and in association with governmental regulatory controls, shareholders' covenants and other pertinent matters.

We shall then be able to offer to all networks satellite transmission of sponsor-funded live and recorded content that is tailor-made for individual networks subscribers' requirements. It is estimated to be the best MPEG-4 Mobile-TV in the world.

Each mobile-phone group within the proposed Midas Consortium shall be treated as a separate entity: they each have their own management, covenants and Articles of Association. The Midas Board wishes to retain all existing contracts with each of the mobile-phone groups within The Midas Consortium, and to partner, where possible, with existing technical support groups in order to avoid any conflict of interest within The Midas Consortium.

Furthermore the Midas Board wishes that each of the proposed shareholders in the proposed Midas Consortiums shall retain its own indigenous audit and legal systems, finance directors and marketing managers and to sustain the high-quality of corporate governance.

Private Equity Proposals
Midas is dedicated to further discussions with private equity and venture capital groups that specialise in infrastructure funds. Such groups are interested in the following key  areas:-

1.   To progress exploratory talks with a global provider of mobile multimedia and wireless broadband technologies and to facilitate all multimedia 

       functions, Midas Mobile Tv and global netshopping.

2.   To progress exploratory talks with Tenant Companies, Content Providers, Advertisers & Sponsors.

3.   To propose a Midas pilot-test in 100Km. radius of London, Paris and Berlin.

4.    Development of GLS/GPS/GSM/RFID and other technologies such as DVB-SH, MPEG-4, LTE, HSPA+
       Broadband, WiMAX, Network Sharing and other new technologies such as Dynamic
       Spectrum Access. There are new mobile devices, not yet in the public domain, that
       greatly facilitate multimedia access for the proposed Midas Consortium and associated
       equity partners.

5.   Further exploratory talks with The European Commission, Ofcom, OECD,FSA, CBFS and other regulatory
      bodies.

6.  To focus only on those companies that are successfully developing in these new and
      innovative digital mobile markets. We are not influenced by  their market-position  
      or balance-sheet,  but are attracted to those partners who focus on a core 
      activity with a very high management structure.

7.   To further develop equity partnerships with mobile phone networks and infrastructure groups.

As fixed-voice revenues continue to fall, the focus has now switched to massive new data-rich revenue streams such as Mobile TV and HSDPA.
